Agreement to Legal Terms


These Terms are a binding agreement between you and Spiral Ad, Inc. (“Spiral,” “we,” “us”). They apply to your use of spiral.ad and our Growth self-serve software and related services (the “Services”). By creating an account, clicking “I agree,” or using the Services, you accept these Terms and our Privacy Policy, available at spiral.ad/legal/privacy. If you do not agree, do not use the Services.


Scope. These Terms apply to Growth self-serve only. Enterprise customers sign a separate agreement.

1. The Services


Spiral provides AI tools to generate and manage advertising creatives and related assets. The Services are optimized for Meta placements. You may use generated creatives on Meta and elsewhere at your discretion; Spiral makes no warranty for performance or compliance on any platform (including Meta).


We do not buy media or manage your campaigns. You are responsible for your advertising accounts and results.

2. Eligibility and Accounts


Business use only. The Services are for business and organizational use, not for personal or consumer use. You must be 18+ and represent yourself using Spiral for business purposes. To verify this, we allow sign-up only with business email addresses.


Account. You must provide accurate information, keep credentials secure, and are responsible for activity under your account. We may refuse or suspend accounts for misuse, security risk, or violation of these Terms.


Team members and invited users. You may invite users to your workspace. You are responsible for their compliance with these Terms and for all actions they take in the Services. The acts and omissions of invited users are deemed to be yours, and you must ensure they are authorized and bound to follow these Terms.


Clickwrap. Your acceptance is recorded with time and technical details for our records.

3. Plans, Credits, Billing, and Cancellations


No per-seat fees. Add team members without extra seat charges. Usage is limited by credits.


Subscriptions. Monthly or annual, billed in advance, auto-renewing until you cancel in the product. Upgrades take effect immediately with a prorated charge. Downgrades apply at the next renewal. We do not provide refunds for partial periods.


Credits. Credits are the unit used to run generations. Current prices per asset type are shown in the product and may change prospectively, for example: one image uses two credits and one video uses four or more credits depending on options. Credits are deducted only when a generation successfully completes. Credits included in your plan expire at the end of the billing period and do not roll over. Credits are nonrefundable and nontransferable. If a job fails due to Spiral systems, we may restore credits at our discretion.


Top-ups. If you run out, you may purchase credit packs in-app. Top-ups are billed at purchase, nonrefundable, require an active paid plan to use, and expire twelve months after purchase or upon cancellation of your paid plan, whichever is earlier. You can enable optional auto top-up when your balance falls below a threshold you choose.

Cancellations and termination. You may terminate your subscription at any time for any or no reason. You can terminate in writing, including by email, by using the Cancellation Button in the customer portal, or through the payment provider Stripe. Unless stated otherwise in the product, termination takes effect at the end of your current billing period. This section supplements Section 9.


Taxes and currency. Prices are exclusive of taxes. We will collect applicable VAT, GST, sales and similar taxes based on your billing details. For eligible EU and UK business transactions with a valid VAT ID, reverse charge may apply. If any withholding tax applies, you must gross-up so we receive the full invoiced amount.

4. Meta Integration and Third-Party Platforms


We integrate through official APIs. We are not affiliated with Meta and do not control Meta’s platforms. Your use of Meta is governed by Meta’s own terms and policies, and you are responsible for compliance. We may suspend API actions if we receive credible notice of policy violations or platform risk.


By connecting your Meta Ads account, you authorize us to: Access your Meta Ads performance data through official APIs; Analyze campaign and creative data to generate optimized creative content; Store necessary data for service delivery and improvement.

5. Intellectual Property and Outputs


Our IP. We own the Services, including the platform, software, models, features, and related materials.


Your Inputs and Outputs. As between you and Spiral, you own the Outputs you generate using your prompts, data, and assets.


License to Spiral. You grant Spiral a nonexclusive license to host, process, and display your Inputs and Outputs to operate and support the Services, improve our models and features, comply with law, and provide support.


Similarity of Outputs. Outputs may be similar or identical to those generated for others due to similar prompts or data.


No clearance. Spiral does not verify or clear rights in your Inputs or Outputs. You are solely responsible for reviewing Outputs and obtaining any permissions, releases, or licenses required for your use.


IP infringement remedy. If any part of the Services is alleged to infringe a third-party intellectual property right, we may at our expense and in our discretion do one of the following: modify the Services to avoid the alleged infringement, obtain the necessary rights to continue providing the Services, or, if those options are not commercially reasonable, terminate the affected Services. If you become aware of any such claim, you must notify us promptly, reasonably cooperate in the defense, and not make admissions or settlements without our consent.


Platform compliance and claims. You are responsible for advertising claims, required disclosures, compliance with platform policies including Meta policies, and any third-party rights implicated by your ads.

6. Data, Privacy, and Security


Buckets. We handle:

  • Customer Data you provide, including assets and prompts.

  • Outputs generated for you.

  • Usage Data and telemetry about how Services are used.

Training. Spiral may use Customer Data and Outputs to operate and improve the Services, including to train, fine-tune, evaluate, and safety-test models and features, and to develop aggregated insights, as described in our Privacy Policy. Opt-out is not available on Growth.


Retention and deletion. Upon a valid deletion request or when you delete projects, we remove Customer Data and Outputs from active systems within thirty days and from backups within a reasonable time not exceeding ninety days, unless retention is required by law or necessary for legitimate business purposes.

Customer backups. You are responsible for maintaining appropriate backups of your inputs, outputs, and other data stored or processed through the Services. The Services are not a data archiving or disaster recovery system.


Privacy and subprocessors. Our Privacy Policy explains what we collect, use, share, and retain, and lists our subprocessors. We use industry-standard security controls appropriate for a Growth plan.

7. Acceptable Use


You agree not to:

  • Break laws, violate advertising standards, or misuse personal data.

  • Generate content that includes racism, extremism, harassment, threats of harm, criminal incitement, pornography, or content that is offensive or obscene.

  • Probe, scan, or reverse engineer our systems or models.

  • Scrape, harvest, or use the Services to train or improve a competing model or service.

  • Misrepresent AI outputs as human where disclosure is required.

  • Interfere with Service integrity, introduce malware, or attempt unauthorized access.

  • Evade usage limits, create fake accounts, or resell access without our consent.

  • Upload content you do not have rights to use.

    We may suspend or terminate for violations.

8. Disclaimers, Indemnity, and Liability Limits


As-is. The Services and all outputs are provided as is and as available. We do not promise correctness, uninterrupted operation, or any advertising results. You must review outputs before use.


Advertiser responsibility. You are solely responsible for your campaigns, claims, disclosures, platform compliance, and regulatory compliance.


Indemnity. You will defend and indemnify Spiral from and against claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your inputs, references, or outputs, your use of the Services, or your breach of these Terms, including any claim that content you provided or generated using the Services infringes or violates third-party rights.


Limits. To the fullest extent permitted by law, we are not liable for indirect or consequential damages, lost profits, performance shortfalls, data loss, or third-party platform issues. Our total liability for any claim is capped at the fees you paid to Spiral in the three months before the claim.

9. Suspension and Termination


Either party may terminate at any time. We may suspend or terminate immediately for violations, nonpayment, platform risk, or security concerns. At termination, access ends, you remain responsible for amounts owed, you retain ownership of outputs already generated, and we delete data per our retention schedule.

10. Changes to the Services and to these Terms


We may change features, plans, and pricing. We may update these Terms by posting the revised version with a new date and, when appropriate, additional notice. Continued use after changes means you accept the new Terms.


11. Publicity


Unless you opt out in the product or by emailing support, you grant Spiral a revocable, nonexclusive, worldwide, royalty free license during your subscription to display your name and logo solely to identify you as a customer on our website and sales materials.


12. Export and Sanctions


You must comply with applicable export control and sanctions laws. You may not use the Services in embargoed countries or for prohibited parties or purposes.

13. Governing Law and Disputes


These Terms are governed by the laws of Delaware. Disputes are resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

14. General


These Terms and our Privacy Policy are the entire agreement for Growth self-serve. If any provision is unenforceable, the rest remain effective. Our failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign as part of a merger, sale, or corporate transaction. Notices may be provided through the product or to your account email.
